Introduction

These Terms of Service ("Terms") constitute a legally binding agreement between BluBuddy("we," "us," or "our") and you, the user of the BluBuddy service ("User," "you," or "your"). These Terms govern your access to and use of the BluBuddy application, website (www.blubuddy.io), and AI chatbot services (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use our Service.

We reserve the right to change or modify these Terms at any time. Any changes to these Terms will be effective immediately upon posting on our website. Your continued use of the Service following the posting of changes will constitute your acceptance of such changes.

1. Service Description

BluBuddy provides an artificial intelligence-powered chatbot platform designed for businesses across all industries. The service enables professionals to automate lead capture, qualification, client communication, and basic document handling, helping streamline operations and improve customer engagement.

1.1 Service Features

The Service may include, but is not limited to, the following features:

  • 24/7 automated responses to client inquiries
  • Multi-language chat support in most of the languages
  • Lead qualification and prioritization
  • Integration with third-party CRM systems
  • Communication through various channels (WhatsApp, website, email)
  • Basic document preparation based on templates
  • Analytics and reporting features
  • User account management

1.2 Service Availability

While we strive to ensure the Service is available at all times, we do not guarantee that the Service will be available without interruption. We reserve the right to suspend or restrict access to some features for users. We will not be liable if, for any reason, all or any part of the Service is unavailable at any time or for any period.

2. User Registration and Account Security

2.1 Registration Requirements

To access certain features of the Service, you must register for an account. When you register, you agree to provide accurate, current, and complete information about yourself and your organization as prompted by the registration form ("Registration Data").

2.2 Account Types

BluBuddy offers different account types, which may include:

  • Trial accounts (time-limited with reduced features)
  • Standard subscription accounts
  • Premium subscription accounts
  • Enterprise accounts (with customized features)

2.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying BluBuddy immediately of any unauthorized use of your account
  • Ensuring that you exit from your account at the end of each session

BluBuddy will not be liable for any loss or damage arising from your failure to comply with this section.

2.4 Account Verification

We reserve the right to verify your identity and your Registration Data at any time. We may use third-party services to verify the information you provide and to obtain additional information about you as permitted by applicable law.

3. Subscription Plans and Payment Terms

3.1 Free Trial

We may offer a "forever free" plan with limited features; however, we reserve the right to modify, limit, or discontinue the free plan at any time, and users may be required to transition to a paid plan to continue using the Service.

3.2 Subscription Plans

BluBuddy offers various subscription plans with different features, limitations, and pricing. Current subscription plans and their features are available on our website.

3.3 Payment and Billing

3.3.1 Subscription Fees

All subscription fees are payable in advance according to the billing cycle selected at the time of purchase (monthly, quarterly, or annually). All payments are non-refundable except as expressly provided in these Terms.

3.3.2 Payment Methods

We accept payment through credit cards, bank transfers, and other payment methods specified on our website. By providing payment information, you represent and warrant that you are authorized to use the designated payment method.

3.3.3 Automatic Renewal

Unless otherwise stated, subscriptions automatically renew at the end of each billing cycle. You authorize us to charge your payment method on a recurring basis for the subscription fee applicable to your selected plan.

3.3.4 Late Payments

If payment is not received by the due date, we may suspend your access to the Service until payment is received. For suspended accounts, we may charge a reactivation fee.

3.3.5 Price Changes

We reserve the right to change our subscription fees at any time. If we change subscription fees for your subscription plan, we will notify you at least 30 days before the change takes effect.

3.4 Taxes

All fees are exclusive of applicable taxes (including value-added tax or VAT), which will be charged as appropriate based on your location and local tax requirements. You are responsible for paying all taxes associated with your subscription.

4. User Responsibilities and Restrictions

4.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

  • In any way that violates any applicable federal, local, or international law or regulation, including UAE laws and Dubai Real Estate Regulatory Agency (RERA) regulations
  • To transmit or procure the sending of any advertising or promotional material, including "spam" or similar solicitations
  • To impersonate or attempt to impersonate BluBuddy, a BluBuddy employee, or any other person or entity
  • To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
  • To attempt to interfere with the proper working of the Service

4.2 Content Responsibilities

You are solely responsible for all data, information, and content that you upload, post, or otherwise transmit through the Service ("User Content"). You represent and warrant that:

  • You own or have the necessary rights to share User Content with BluBuddy
  • User Content does not infringe or violate the intellectual property rights or any other rights of any third party
  • User Content does not contain any material that is defamatory, obscene, or otherwise offensive
  • User Content does not contain any malware, viruses, or other harmful code

4.3 API Usage and Rate Limits

If you access our API, you must comply with our API documentation and any rate limits we establish. We reserve the right to set and modify rate limitations on API calls at any time.

4.4 Third-Party Services

The Service may integrate with third-party services (including CRM systems, messaging platforms, etc.). Your use of these third-party services is subject to their respective terms of service. BluBuddy is not responsible for third-party services and provides these integrations "as is."

5. Intellectual Property Rights

5.1 BluBuddy's Intellectual Property

The Service and all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by BluBuddy, its licensors, or other providers and are protected by UAE and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

5.2 Limited License to Use the Service

These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business operations. This license is subject to your compliance with these Terms.

5.3 User Content License

You retain ownership of your User Content. By uploading or sharing User Content, you grant BluBuddy a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such User Content solely for the purpose of providing and improving the Service.

5.4 Feedback License

If you provide feedback, suggestions, or recommendations about the Service ("Feedback"), you grant BluBuddy a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, publish, distribute, and otherwise exploit such Feedback for any purpose.

5.5 Restrictions

You may not:

  • Copy, modify, or create derivative works based on the Service
  • Frame or mirror any part of the Service
  • Access the Service to build a competitive product or service
  • Use the Service in a way that could damage, disable, or impair the Service
  • Attempt to gain unauthorized access to the Service or related systems
  • Reverse engineer, decompile, or disassemble the Service

6. Data Protection and Privacy

6.1 Privacy Policy

Our Privacy Policy, available at https://blubuddy.io/privacy-policy/, describes our practices regarding the collection, use, and disclosure of your personal information. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

6.2 Data Security

We implement reasonable technical and organizational measures to protect your data. However, no method of transmission over the Internet or electronic storage is 100% secure. We cannot guarantee the absolute security of your data.

6.3 Data Storage Location

All data is stored on secure servers located in compliance with applicable data protection laws.

6.4 Data Processing Agreement

If required by applicable law, we will enter into a separate data processing agreement with you that governs our processing of personal data on your behalf.

6.5 GDPR Compliance

For users in the European Economic Area (EEA), we comply with the General Data Protection Regulation (GDPR). As a data processor, we will process personal data only in accordance with your documented instructions.

7. Confidentiality

7.1 Confidential Information

During your use of the Service, you may share information with us that is proprietary or confidential ("Confidential Information"). We will treat your Confidential Information with the same degree of care as we treat our own confidential information, but in no case less than reasonable care.

7.2 Exclusions

Information will not be considered Confidential Information if it:

  • Is or becomes publicly available through no fault of the receiving party
  • Was in the receiving party's possession before receipt from the disclosing party
  • Is rightfully received from a third party without a duty of confidentiality
  • Is independently developed without reference to the Confidential Information

8. Warranties and Disclaimers

8.1 Limited Warranty

BluBuddy warrants that the Service will perform substantially in accordance with the documentation provided on our website when properly used. This warranty does not apply if the Service has been modified or used in a manner inconsistent with these Terms.

8.2 Disclaimer of Warranties

EXCEPT FOR THE LIMITED WARRANTY ABOVE, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. BLUBUDDY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

BLUBUDDY DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS IN THE SERVICE WILL BE CORRECTED.

8.3 AI Functionality Limitations

You acknowledge that the Service utilizes artificial intelligence technologies that:

  • May not always generate accurate, complete, or appropriate responses
  • May occasionally produce unexpected or unintended outputs
  • Are continuously learning and evolving based on interactions
  • Should not replace human judgment in important real estate transactions

9. Limitation of Liability

9.1 Exclusion of Certain Damages

IN NO EVENT WILL BLUBUDDY BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF BLUBUDDY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.2 Liability Cap

BLUBUDDY'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT PAID BY YOU TO BLUBUDDY DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9.3 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations may not apply to you to the extent prohibited by applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless BluBuddy and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising from or relating to:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any rights of another person or entity
  • Your violation of any applicable laws, rules, or regulations

11. Term and Termination

11.1 Term

These Terms will remain in effect until terminated by either you or BluBuddy.

11.2 Termination by You

You may terminate these Terms at any time by:

  • Canceling your subscription through your account settings
  • Providing written notice to BluBuddy at hello@blubuddy.io
  • Ceasing all use of the Service

11.3 Termination by BluBuddy

BluBuddy may terminate these Terms and your access to the Service:

  • With 30 days' prior written notice for any reason
  • Immediately without notice if you breach these Terms
  • Immediately if required to do so by law

11.4 Effect of Termination

Upon termination:

  • Your right to access and use the Service will cease immediately
  • You will remain liable for any accrued but unpaid fees
  • Sections 5 (Intellectual Property Rights), 7 (Confidentiality), 8 (Warranties and Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), and 14 (General Provisions) will survive termination

11.5 Data Deletion

We will retain your data for a period of 30 days after termination, during which time you may request a copy of your data. After this period, we will delete your data from our active systems, except as required by law.

12. Service Level Agreement

12.1 Service Availability

BluBuddy aims to provide 99.9% uptime, excluding scheduled maintenance.

12.2 Support Services

Support services are provided according to your subscription plan.

12.3 Maintenance Windows

Scheduled maintenance will be performed during off-peak hours whenever possible. We will provide at least 48 hours' advance notice for scheduled maintenance that may impact service availability.

13. Compliance with Laws

13.1 General Compliance

Both parties agree to comply with all applicable laws, regulations, and industry standards in connection with the performance of their obligations under these Terms.

13.2 Compliance with Local Regulations

You are responsible for ensuring that your use of the Service complies with all applicable laws and regulations in your jurisdiction, including but not limited to real estate regulations. BluBuddy does not guarantee that using the Service will ensure compliance with any such laws or regulations.

13.3 Export Control

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce and trade and economic sanctions maintained by the U.S. Treasury Department's Office of Foreign Assets Control.

14. General Provisions

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where BluBuddy is headquartered, without regard to its conflict of law principles.

14.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the competent courts of the jurisdiction where BluBuddy is headquartered.

14.3 Force Majeure

Neither party will be liable for any failure or delay in performance of its obligations under these Terms (except for payment obligations) due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, civil unrest, government action, labor strikes, or internet service provider failures.

14.4 Assignment

You may not assign or transfer these Terms or any rights or obligations under these Terms without BluBuddy's prior written consent. BluBuddy may assign these Terms at any time without notice.

14.5 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck and the remaining provisions will be enforced to the fullest extent under law.

14.6 No Waiver

BluBuddy's failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

14.7 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and BluBuddy regarding the Service, superseding any prior agreements between you and BluBuddy.

14.8 Amendments

We may modify these Terms at any time by posting the revised Terms on our website. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.
